Welcome to Wispcode (“we,” “us,” “our,” or “Company”). These Terms & Conditions (“Terms”) govern your access to and use of the website located at wispcode.com (the “Site”), as well as any services, products, consultations, or deliverables provided by Wispcode, including but not limited to GoHighLevel (GHL) systems development, CRM setup and customization, API integration, workflow automation, email marketing, website and funnel building, and voice/conversation AI configuration (collectively, the “Services”).

By accessing the Site, submitting an inquiry, booking a call, or engaging us for Services, you (“you,” “your,” “Client,” or “User”) agree to be bound by these Terms. If you do not agree with these Terms, please do not use the Site or engage our Services.

1. About Wispcode

Wispcode is a systems development company specializing in customized GoHighLevel (GHL) solutions designed to help businesses automate workflows, streamline CRM and communications, and optimize customer journeys. Our team supports clients across industries including manufacturing, finance and consulting, transportation, logistics, renewable energy, and healthcare.

2. Eligibilty

By using the Site or engaging our Services, you represent that you are at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or the business or organization you represent.

3. Services

Wispcode provides systems development and automation services, which may include, without limitation:

         Website and funnel building

         CRM setup and customization (including GoHighLevel configuration)

         API integration

         Workflow and business process automation

         Email marketing setup and management

         Voice and conversation AI configuration

The specific scope, deliverables, timeline, and fees for any engagement will be set out in a separate proposal, order form, statement of work, or service agreement (“Order”) agreed upon between Wispcode and the Client. In the event of a conflict between these Terms and an Order, the Order will govern with respect to the subject matter it specifically addresses.

4. Booking Calls & Consultations

The Site allows you to book a call, submit a contact form, or request a consultation. Submitting a request does not create a binding service agreement. A binding engagement is only formed once both parties have agreed upon and signed or otherwise accepted a separate Order, proposal, or invoice.

5. Client Responsibilities

To enable us to deliver the Services effectively, the Client agrees to:

         Provide accurate, complete, and timely information, account access, and materials reasonably requested by Wispcode;

         Designate a point of contact authorized to make decisions regarding the engagement;

         Review and approve deliverables within a reasonable timeframe;

         Maintain valid, active subscriptions to any third-party platforms (such as GoHighLevel) required for the Services; and

         Comply with the terms of service of any third-party platforms used in connection with the Services.

Delays caused by the Client's failure to provide necessary access, information, or approvals may extend project timelines and are not the responsibility of Wispcode.

6. Fees & Payment

Fees for Services will be set out in the applicable Order or invoice. Unless otherwise agreed in writing:

         Invoices are due upon receipt or within the timeframe stated on the invoice;

         Late payments may result in suspension of work or Services until payment is received;

         Fees are non-refundable once work has commenced, except as otherwise agreed in writing or required by applicable law;

         Third-party costs (such as GoHighLevel subscription fees, domain registration, hosting, or other software licenses) are the responsibility of the Client unless explicitly included in an Order.

7. Intellectual Property

Upon full payment, the Client will own the final deliverables created specifically for the Client under an Order, excluding any pre-existing tools, templates, frameworks, code libraries, or methodologies owned by Wispcode (“Wispcode IP”), which Wispcode retains ownership of and licenses to the Client for use in connection with the delivered Services.

All content on the Site — including text, graphics, logos, and design — is the property of Wispcode or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from the Site's content without prior written consent.

8. Third-Party Platforms

Our Services frequently involve integration with third-party platforms, including but not limited to GoHighLevel, email service providers, payment processors, and APIs (“Third-Party Platforms”). Wispcode is not responsible for the availability, performance, security, pricing changes, or policies of any Third-Party Platform. Your use of any Third-Party Platform is subject to that platform's own terms and privacy policy.

9. Confidentiality

Each party agrees to keep confidential any non-public business, technical, or financial information disclosed by the other party in connection with the Services, and to use such information solely for the purpose of fulfilling the engagement, except where disclosure is required by law.

10. Disclaimers

The site and services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Wispcode does not guarantee that the services will be uninterrupted, error-free, or that any specific business results (such as sales, leads, or revenue) will be achieved.

11. Limitation of Liability

To the fullest extent permitted by law, Wispcode and its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the site or services. Wispcode's total aggregate liability for any claim arising out of or related to these terms or the services shall not exceed the total fees paid by the client to Wispcode in the three (3) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Wispcode and its officers, employees, and contractors from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your misuse of the Site or Services, or your violation of any applicable law or third-party right.

13. Termination

Either party may terminate an ongoing engagement in accordance with the terms set out in the applicable Order. Wispcode reserves the right to suspend or terminate access to the Site or any Services at its discretion in the event of misuse, non-payment, or violation of these Terms. Provisions which by their nature should survive termination (including but not limited to Sections 7, 9, 10, 11, and 12) will continue to apply.

14. Privacy

Our collection and use of personal information is described in our Privacy Policy, available on the Site. By using the Site or Services, you consent to the collection and use of information as described therein.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiation between the parties. If a resolution cannot be reached, disputes shall be resolved through binding arbitration or in a court of competent jurisdiction, as the parties may agree in the applicable Order.

16. Changes to These Terms

Wispcode reserves the right to modify these Terms at any time. Updated Terms will be posted on the Site with a revised “Last Updated” date. Continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.

17. Severeability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
